REPRESENTATIVE EXPERIENCE
- Morgan Stanley Global Realty Fund – Advised Morgan Stanley in the negotiation and acquisition of two multi-million dollar non-performing loan portfolio from two Japanese Banks. Also advised the client on bankruptcy matters involving the debtor and undertook the foreclosure process.
- Morgan Stanley Japan Ltd., Global High Yield Group- Formed the acquisition entity and negotiated the purchase of a multi-million dollar non-performing commercial loan from Asahi Bank and acted as litigation counsel for the enforcement of the debt against various Japanese and Guam venture partners.
- Morgan Stanley Co.; Global High Yield Group- Legal counsel for Morgan Stanley for the Guam tranche in the acquisition of 500,000 consumer loans in Southeast Asia from Citibank N.A.
- The HongKong and Shanghai Banking Corporation – Advised the bank in various multi-million commercial loan workouts and acted as lead counsel in a major lender liability case filed in the Federal District Court of Guam which involved multi-jurisdictional discovery disputes spanning from Indonesia, Dubai, Hong Kong and New York. The case was settled. Also provided advice in the closing of the HSBC branch in Guam.
- Goodwind Development Corporation dba Micronesia Mall and its affiliates –Acted as borrower’s counsel for a multi-million dollar syndicated loan for the construction of Phase II of a 700,000.00 square feet mall. Also advised the group of companies for over 18 years on all legal issues including financing, leasing, employer issues, acquisitions, bankruptcy matters involving tenants, including national corporate bankruptcies filed in the US, such as the KB Toys and Payless Shoe Source bankruptcy. Drafted the amended lease for the expansion of the Macy’s Inc., anchor store.
- Ada’s Trust & Investment Inc.- represents the company in all its commercial land acquisitions and development as well all its commercial leasing and hotel ownership matters.
- Arrival Ventures, Ltd- Advised and represented a private investor group from Hong Kong in a lawsuit regarding JP¥ 284,000,000.00 in defaulted yen-denominated convertible bonds issued by the Republic of Nauru and Nauru Phosphate Royalties Trust, including enforcement of judgments in Hawaii, Guam, Saipan and Australia.
- PHR KEN Micronesia Inc.-subsidiary of KEN Real Estate Lease, Ltd., Tokyo Japan-general corporate advice to owner of five internationally branded hotels and one golf course in Guam.
- Capmark Asia-Tokyo, Japan – Advised it in its due diligence for the acquisition of a multi-million dollar NPL secured by a hotel in Saipan.
- SBI Holdings, Inc., Japan – Advised the company in its potential acquisition of a 200+ room hotel on Guam and the conversion of the hotel to condominiums.
- Starts Corporation, Japan- represented its Guam subsidiary in the sale a 27 hole golf course and 62 room hotel to a Korean investor as well successfully defeated a lawsuit filed by an investor.
- Wells Fargo- Represented the bank in residential loan matters, foreclosures and bankruptcy cases.
- Burberry, Ltd. – Advised it in its acquisition of its two licensed stores on Guam and also acted as its corporate counsel.
- Marianas Gas Corporation – Advised it in a multi-million dollar acquisition of an industrial gas and chemical manufacturing facility from a subsidiary of Schnitzer Investment Corporation of Portland, Oregon. Corporate counsel for Marianas Gas from 2006 – 2011.
- Pacific Petroleum Company – Co-representation of a French company in its due diligence and preparation of its bid for the acquisition of all of the petroleum assets of Shell Eastern Petroleum (Pte) Ltd., in Guam, Saipan and Palau.
- Telcom Indonesia – Co-counsel to and advised and undertook due diligence on behalf of the client in the potential acquisition of Guam’s largest telecom company owned by a Japanese private equity firm..
- Woori Credit Suisse, Korea – Advised lender in the proposed secured financing of a townhouse development on Guam.
- Bank of Hawaii - Represents the bank in consumer, residential and commercial loan matters, foreclosures and bankruptcy cases.
- ANZ Guam, Inc. - Represented the bank in residential and commercial loan matters, foreclosures and bankruptcy cases.
- First Hawaiian Bank - Represents the bank in consumer, residential loan matters, foreclosures and bankruptcy cases.
- BankPacific, Ltd. – Represents the bank in bankruptcy creditor matters, commercial and residential loan documentation, foreclosures and drafting legal opinions.
- First Commercial Bank (Taiwan) – Handled commercial loan documentation including multi-party revolving credit facilities and commercial loan foreclosures and workouts.
- Shinhan Bank (Korea) – Represented the bank in the foreclosure of an $80 Million loan secured by a failed shopping center. Successfully defended against Borrower’s Complaint for an Injunction of the foreclosure which resulted in a successful foreclosure auction.
- Grandview Corporation – Advised owner in the conversion of a 220 room hotel to condominiums.
- Guam Housing Corporation – (2001-2007) & 2023 to pressent- the firm’s representation covered a spectrum of real estate, legal matters relating to borrowing from the FHLB (Seattle), foreclosures, bankruptcy and litigation matters.
- Guam Economic Development Authority (conflicts counsel) – (2001-2007), the firm’s representation covered a spectrum of matters-from commercial real estate foreclosures, bankruptcy to tax qualifying certificates issues.
- Community First Guam Federal Credit Union - Represent it in all its legal matters, including the preparation of commercial loan documents and litigation.
- Paradise Estates Subdivision – Advises developer of this multi-phase housing development project on all aspects of its development, including financing, environmental and corporate matters.
- Marianas Properties, L.L.C. – Advised company in the acquisition of a multi-million dollar non-performing commercial loan secured by the Guam Marriott Hotel. Also advised the company regarding various bankruptcy, mechanic’s lien and foreclosure issues.
- Represented the acquiring party in the merger of Polo Investments (BVI) Ltd. and Greenhill Investments Inc. The deal was valued at $45 million.
- Represented the Guam Chapter 7 Bankruptcy Trustee in a Chapter 7 bankruptcy case, which included the filing various adversarial legal actions, including the legal challenge of a $30 Million secured loan held by two South Korean lenders, negotiated tax settlements with Department of Revenue & Taxation and had a 90% recovery rate for the debtor’s unsecured creditors. Also represented another trustee in 2022 in four adversarial actions to challenge the validity of $20M worth of secured debt which resulted in a substantial settlement for unsecured creditors.
